Salespuzzle – Customer Terms of Use
1. Introduction
These Customer Terms of Use (“Terms”) govern access to and use of the Salespuzzle platform (the “Service”) provided by Salespuzzle Limited (company number 17013101), whose registered office is at 9 White Heather Court, Hythe, Southampton, SO45 6DT, United Kingdom (“Salespuzzle”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be bound by these Terms, together with our Data Processing Agreement (“DPA”) and Privacy Policy (together, the “Agreement”).
If you do not agree, you must not use the Service.
2. Eligibility and Scope
The Service is intended for business use only (B2B). By using the Service, you confirm that:

You are acting on behalf of a business, organisation, or legal entity (“Customer”)

You have authority to bind that entity

All users are at least 16 years old
We may restrict access in jurisdictions subject to applicable sanctions or legal restrictions.
3. Account Registration and Administration
3.1 Account Setup
When registering:

You must provide accurate and complete information

The first registered user becomes the Company Administrator
Each account is for:

One legal entity, or
-
One individual acting in a business capacity
3.2 Users
You may invite employees or contractors (“Users”) to access the Service.
You are responsible for:

All Users’ actions
-
Ensuring compliance with these Terms
Users must:

Keep credentials secure
-
Not share login details
3.3 Administrator Controls
Company Administrators control:

User access and permissions
-
Integrations and data settings
-
Account configuration
You acknowledge that administrator actions may result in:

Modification or deletion of Customer Data
4. Customer Data
4.1 Ownership
You retain full ownership of all data, content, and information you upload or input into the Service (“Customer Data”).
4.2 ResponsibilityYou are solely responsible for:

The legality, accuracy, and integrity of Customer Data

Ensuring you have a lawful basis under applicable data protection laws
4.3 Data Protection & GDPR
Where we process personal data on your behalf:

You act as data controller
-
We act as data processor
Processing is governed by our Data Processing Agreement.
We provide functionality within the Service to support:

Data subject access requests (DSARs)
-
Rectification and erasure requests
-
Data export and audit activity
4.4 Special Category Data
The Service is not designed for the routine processing of special category (sensitive) personal data.
If you choose to process such data, you:

Do so at your own risk
-
Must ensure full compliance with applicable data protection laws
4.5 Anonymised Data
You grant us the right to use fully anonymised, non-identifiable data derived from Customer Data for:

Analytics
-
Service improvement
-
Product development
Such data will not identify you or any individual.
5. Acceptable Use
You must not use the Service:

In breach of any applicable law or regulation
-
To transmit unlawful, harmful, or offensive material
-
To distribute malware or harmful code
-
For unsolicited marketing (spam)
You must not:

Attempt to reverse engineer the Service
-
Interfere with system integrity or security
We may suspend access if you breach this section.
6. Fees and Payment
6.1 Fees
Fees are as published on our Website and may be:

Monthly or annual
-
Payable in advance
6.2 Payment
You must:

Provide valid payment details
-
Authorise recurring billing
Fees:

Are non-refundable (except where required by law)
-
Exclude VAT and applicable taxes
6.3 Changes to Fees
We may change fees with at least 30 days’ notice. Changes apply from the next billing cycle.
6.4 Non-Payment
We may:

Suspend access after overdue payment
-
Terminate accounts after continued non-payment
7. Term and Termination
7.1 Term
This Agreement continues until terminated by either party.
7.2 Termination by Customer
You may terminate at any time via account settings.
7.3 Termination by Salespuzzle
We may terminate or suspend access:

For breach of these Terms
-
For non-payment
-
For legal or regulatory reasons
-
With 30 days’ notice for convenience
7.4 Effect of Termination
Upon termination:
-
Access to the Service ends
-
Data becomes inaccessible
We will retain Customer Data for 14 days, during which restoration may be requested.
After that:
-
Data is permanently deleted (subject to backup retention up to 90 days)
8. Availability and Support
We aim to provide high availability but do not guarantee uninterrupted access.
We may suspend access:

For maintenance
-
Due to technical issues
-
Due to events beyond our control (Force Majeure)
Support is provided via email for reproducible issues.
9. Intellectual Property
All intellectual property rights in the Service remain owned by Salespuzzle or its licensors.
You are granted a limited, non-exclusive, non-transferable right to use the Service.
You may not:

Copy, modify, or distribute the Service
-
Reverse engineer or extract source code
10. Confidentiality
Each party agrees to:

Keep confidential information secure
-
Use it only for purposes of this Agreement
Confidential information excludes information that:

Is publicly available
-
Was already lawfully known
-
Must be disclosed by law
11. Warranties and Disclaimer
The Service is provided “as is”.
We do not guarantee:

That the Service will be uninterrupted or error-free
-
That it will meet all your requirements
You warrant that:

You have authority to enter this Agreement
-
Your use complies with all applicable laws
12. Limitation of Liability
Nothing excludes liability for:

Death or personal injury caused by negligence
-
Fraud or fraudulent misrepresentation
-
Any liability that cannot be excluded under law
Subject to the above:

We are not liable for:

Indirect or consequential loss
-
Loss of profits, revenue, or goodwill
-
Loss of data (where reasonable safeguards are in place)

Our total liability is capped at:
100% of fees paid in the previous 12 months
13. Indemnity
You agree to indemnify us against claims arising from:

Your misuse of the Service

Breach of these Terms

Your Customer Data
14. Changes to Terms
We may update these Terms with reasonable notice.
If changes are material:

You may terminate before they take effect
Continued use after changes means acceptance.
15. Force Majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including:

Natural disasters
-
War or terrorism
-
Network or infrastructure failures
-
Government actions
16. General

This Agreement constitutes the entire agreement

You may not assign without our consent
-
We may assign freely
-
If any provision is invalid, the rest remains in effect
17. Governing Law
This Agreement is governed by the laws of England and Wales.
The courts of England shall have exclusive jurisdiction.
